WHEREAS:
A) The Supplier is shooting, recording or supplying video or photographic content for use by the Athlete and Mana Global.
B) The Athlete is affiliated with Mana Global and will be the subject of the video or photographic content recorded for use by Mana Global and the Athlete.
C) Mana Global and the Athlete will be the end user of the video or photographic content
AGREEMENT:
1. Grant of Rights:
1.1 The Supplier agrees that upon either shooting, recording or supplying the Content for the Athlete and Mana Global, all rights, title, and interest in and to the Content, including copyright and any other intellectual property rights, shall automatically transfer to the Athlete and to Mana.
1.2 The Supplier irrevocably grants the Athlete and Mana, its affiliates, licensees, and assigns the unlimited and perpetual right to use, reproduce, modify, distribute, display, and otherwise exploit the Content in any form, media, or platform, globally and in perpetuity, for purposes including but not limited to commercial, promotional, or marketing activities.
2. Guarantee of Rights:
2.1 In the instance of the supply of archive footage, the Supplier warrants that they are the sole owner of the Content or have obtained all necessary permissions, licenses, or clearances from any third parties to transfer all rights as described herein.
2.2 The Supplier confirms that the Athlete and Mana's use of the Content will not infringe upon any third-party rights, including but not limited to copyright, trademark, or privacy rights.
3. Indemnification:
The Supplier agrees to indemnify, defend, and hold harmless the Athlete and Mana, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from or related to:
(a) Any breach of this Agreement by the Supplier; or
(b) Any claim that the Athlete or Mana's use of the Content infringes the intellectual property or other rights of a third party.
4. No Further Compensation:
The Supplier acknowledges and agrees that upon delivery of the Content to the Athlete and/or Mana, they will not be entitled to any further compensation, royalties, or other payments related to the use of the Content, unless expressly agreed in writing.
5. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of Singapore and any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.
SIGNATURE:
By signing below, the Supplier acknowledges that they have read, understood, and agree to the terms outlined in this Agreement.
